Questionable clause in "inventions" contract with new company

Is this or is this not saying "If I make anything on my own during the time that I'm working for the Company, it automatically become the property of the Company?"

I don't want to sign this craziness!

I agree that I will promptly make full written disclosure to the Company, will hold in trust for the sole right and benefit of the Company, and hereby assign to the Company, or its designee, all my right, title and interest throughout the world in and to any and all inventions, original works of authorship, developments, concepts, know-how, improvements or trade secrets, whether or not patentable or registrable under copyright or similar laws, which I may solely or jointly conceive or develop or reduce to practice, or cause to be conceived or developed or reduced to partake, during the period of time in which I am employed by or a consultant of the Company (collectively referred to as "Inventions"), except as provided in section 4(e) below. I further acknowledge that all inventions, original works of authorship, developments, concepts, know-how, improvements or trade secrets which are made by me (solely or jointly with others) within the scope of and during the period of my Relationship with the Company are "works made for hire" (to the greatest extent permitted by applicable law) and are compensated by my salary (if I am an employee) or by such amounts paid to me under any applicable consulting agreement or consulting arrangements (if I am a consultant) unless regulated otherwise by the mandatory law of the state of California.

  • what's in section 4 (e)?
  • Nothing. Just some weird thing that falls under California Law, not applicable to Oregon.
  • As written, it would mean if you wrote and recorded a krautrock microhouse musical about Sonny Bono in your spare time, it would belong to the Company. This is effed up.
  • Wait, are you recording a krautrock micro house musical about Sonny Bono? :0
  • Yeah, have them strike or rewrite this section.
  • Also, don't let them say "Oh, just ignore it."
  • SERIOUSLY there was just a very upsetting episode of Silicon Valley about this very thing!!!!!!
  • I didn't know that Silicon Valley was a show (or podcast?) but I am in agreement with MJ and will try to fight back.
  • it is a TV show, Mike Judge's new one.
It is hit or miss. First episode is extremely strong and then I feel like the laughs fade away. But that is just my opinion.
    But yeah
It has several actors who I really enjoy, including Kumail Nanjiani and Martin Starr and the guy who plays the CEO of the Google-equivalent, I forget his name
It is about start-up culture in the horrifying hellscape of Silicon Valley. Lots of good jokes about Google (the Google equivalent on the show is called Hooli). Lots of good jokes about "making the world a better place" via, like, faster compression of porn videos. Good send up of tech-bro culture.
There is one amazing episode where a sweet and earnest startup bro gets trapped in a Google self-driving car, and gets shipped to this weird tech outpost in the middle of the ocean that is run completely by computers and robots, and he gets no cell reception, so he's trapped out there for weeks

  • Dick joke to end all dick jokes
  • thanks to this *tip* off I slammed the first season and really liked it- especially the finale!
  • it is a virtuosic scene
